Terms and Conditions

Please read these terms and conditions carefully before using OkaiDokai.

Definitions

• Application means the software program provided by the Company, named OkaiDokai.
• Application Store means the digital distribution service operated by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store).
• Company (referred to as "the Company", "We", "Us" or "Our") refers to Questmate Pty Ltd, L2 11 York St, Sydney, NSW 2000.
• Account means a unique account created for you to access our Service.
• Country refers to New South Wales, Australia.
• Service refers to the Application.
• Subscriptions refer to the services or access offered on a subscription basis by the Company.
• Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between you and the Company.
• You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between you and the Company. These Terms set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of these Terms then you may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on your acceptance of and compliance with the Privacy Policy of the Company.

Subscriptions

Subscription Period

The Service or some parts of the Service are available only with a paid Subscription. You will be billed in advance on a recurring periodic basis (such as monthly or annually), depending on the plan you select.

At the end of each period, your Subscription will automatically renew under the same conditions unless you cancel it or the Company cancels it.

Cancellation

You may cancel your Subscription renewal through your Account settings or by contacting the Company. You will not receive a refund for fees already paid for your current Subscription period, and you will retain access until the end of that period.

If the Subscription was made through an In-app Purchase, you can cancel renewal through the Application Store.

Fee Changes

The Company may modify Subscription fees at any time. Any fee change will become effective at the end of the then-current Subscription period. We will provide reasonable prior notice to give you an opportunity to cancel before the change takes effect.

Refunds

Except when required by law, paid Subscription fees are non-refundable. Certain refund requests may be considered on a case-by-case basis at the sole discretion of the Company.

User Accounts

When you create an account, you must provide accurate, complete, and current information. You are responsible for safeguarding your password and for any activities under your account.

You agree not to disclose your password to any third party and must notify us immediately upon becoming aware of any unauthorized use of your account.

Beta Service

OkaiDokai is currently in beta. The Service may contain bugs, errors, or incomplete features. We may introduce breaking changes, reset data, or discontinue features at any time without notice. You acknowledge that the Service is pre-release software and should not be relied upon as your sole security measure.

Nature of the Service & Assumption of Risk

OkaiDokai acts as an intermediary between AI agents and the tools they attempt to use. The Service intercepts tool-call requests, presents them to you for approval, and relays your decision back to the agent.

You use OkaiDokai at your own risk. The Company does not guarantee that the Service will intercept, detect, or prevent all unauthorized, harmful, or unintended actions by AI agents. No security measure is absolute, and OkaiDokai is not a substitute for proper security practices, access controls, backups, or professional security review.

You are solely responsible for the AI agents you connect to OkaiDokai, the tools and permissions you grant them, and any actions they perform — whether approved, denied, auto-decided by rules, or missed entirely due to a bug, outage, or misconfiguration.

The Company shall not be liable for any damage, data loss, financial loss, or other harm resulting from actions taken by AI agents connected to the Service, regardless of whether the Service was functioning as intended.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws.

Feedback

You assign all rights, title, and interest in any feedback you provide to the Company. If such assignment is ineffective, you agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, distribute, modify, and exploit such feedback without restriction.

Links to Other Websites

Our Service may contain links to third-party websites or services not owned or controlled by the Company. We have no control over and assume no responsibility for their content, privacy policies, or practices.

Termination

We may terminate or suspend your Account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

Limitation of Liability

To the maximum extent permitted by applicable law, the entire liability of the Company under any provision of these Terms shall be limited to the amount actually paid by you through the Service, or 100 USD if you have not purchased anything.

In no event shall the Company be liable for any special, incidental, indirect, or consequential damages whatsoever, including damages for loss of profits, loss of data, business interruption, or personal injury, even if advised of the possibility of such damages.

Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. The Company disclaims all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern these Terms and your use of the Service.

Disputes Resolution

If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting the Company.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms.
